Pawtucket Power Plant
Pawtucket, Rhode Island

Red Rock Power Partners is pleased to announce the acquisition of the 67 MW Pawtucket Power Associates combined cycle generating facility located in Pawtucket, Rhode, Island. This power plant owned by El Paso Merchant Energy North America in 2004 was sold to NAPG of Denver, Colorado in May, 2005. Red Rock Power Partners LLC entered into an exclusivity agreement with NAPG and subsequently partnered with Maxim Power Corp. of Calgary, Canada to finance the facility.

The Pawtucket Power Associates facility is a dual fuel fired facility powered by a General Electric Frame 6B with an ABB VAX steam turbine generator. An ammonia compression inlet chilling system provides additional power generating capacity for summer peaking operations. The facility is currently operated as a merchant power generating facility providing power to the NEPOOL market. The steam sale agreement and site lease agreement with Bunge Oils, a food processing facility that receives process steam from the Pawtucket generating facility were re-negotiated.

Red Rock seeks to increase its portfolio of power generating assets with a view to acquire additional assets in the North East and California power markets in 2006. Buz Barclay of Torys LLC provided legal counsel for the acquisition.
